Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Refuge & Sword Publishing LLC (“GuildWright,” “we,” “us,” or “our”) governing your use of the GuildWright application and related services (the “Service”). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a company, you represent that you are authorized to bind that company.

1. The Service

GuildWright is a subscription software platform for construction and renovation contractors that provides estimating, invoicing, scheduling, timecards, job costing, and related tools, including an optional QuickBooks Online integration. We may add, change, or remove features over time.

2. Accounts and eligibility

You must be at least 18 years old and use the Service for business purposes. You are responsible for your account, for keeping your credentials secure, and for all activity under your account. An account owner is responsible for the users they invite and for setting their roles and permissions.

3. Subscriptions, trials, and billing

Plans. The Service is offered on paid plans, currently Field ($29 per month) and Pro ($99 per month), billed per company. Current pricing and features are shown on our pricing page.

Free trial. New accounts may receive a 14-day free trial with full access and no payment method required. At the end of the trial, you must select a paid plan to continue using the paid features. Your core project and timecard data remains accessible.

Renewal and cancellation. Paid subscriptions renew automatically each month until cancelled. You can cancel or change your plan at any time from your billing settings; cancellation takes effect at the end of the current billing period.

Payments and taxes. Payments are processed by Stripe. Fees are stated exclusive of taxes, and you are responsible for any applicable taxes. Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partial periods.

Price changes. We may change pricing with reasonable advance notice, effective on your next billing period.

4. Your data

You own the data you and your team enter into the Service (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data as needed to provide and support the Service. You are responsible for the accuracy of your data and for having the rights to use it, including any client or employee information you enter.

5. Acceptable use

You agree not to misuse the Service. You will not attempt to breach security or access other companies' data, reverse engineer or copy the Service, use it to violate law or the rights of others, upload malicious code, or resell the Service without authorization.

6. Third-party services

The Service integrates with third parties such as Stripe and Intuit (QuickBooks Online). Your use of those services is governed by their own terms, and we are not responsible for third-party services.

7. Intellectual property

We own all rights in the Service, including its software, design, and trademarks. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service under these Terms.

8. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. GuildWright is a business tool and does not provide legal, tax, accounting, or financial advice. You are responsible for your estimates, invoices, tax filings, and business decisions.

9. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability arising out of or related to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your Customer Data, your use of the Service, or your violation of these Terms or of any law or third-party right.

11. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate access if you violate these Terms, fail to pay, or use the Service in a way that risks harm. On termination, your right to use the Service ends, and we may delete Customer Data after a reasonable period as described in our Privacy Policy.

12. Governing law and disputes

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law rules. You agree that the state and federal courts located in Missouri have exclusive jurisdiction over any dispute that is not otherwise resolved.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date. Continued use of the Service after changes take effect means you accept the updated Terms.
